1. Agreement to Terms

By accessing or using CleanBiz ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including cleaning business owners ("Business Users") and their customers ("End Users").

2. Description of Service

CleanBiz provides software tools for cleaning businesses, including:

  • Website builder for cleaning businesses
  • Customer relationship management (CRM)
  • Appointment scheduling
  • Invoicing and payment tracking
  • SMS appointment reminders
  • Customer portal for online booking

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

You must be at least 18 years old to create an account and use the Service.

4. Subscription and Payments

4.1 Free Plan

We offer a free plan with limited features. The free plan may be modified or discontinued at any time with reasonable notice.

4.2 Paid Plans

Paid subscriptions are billed monthly or annually in advance. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

4.3 Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • You will retain access until the end of your current billing period
  • No refunds will be provided for partial billing periods
  • Your account will be downgraded to the free plan

4.4 Price Changes

We may change our prices with 30 days notice. Price changes will take effect at the start of your next billing period.

5. Your Responsibilities

As a Business User, you are responsible for:

  • All content you upload, including customer data
  • Obtaining necessary consents from your customers to store their data
  • Complying with all applicable laws, including privacy laws (GDPR, CCPA)
  • The accuracy of information you provide to your customers
  • Your business operations and customer relationships
  • Proper use of SMS features in compliance with telemarketing laws

6. Customer Data

6.1 Ownership

You retain ownership of all customer data you enter into CleanBiz. We do not claim ownership of your data.

6.2 Data Processing

By using our Service, you appoint us as a data processor to handle your customer data on your behalf. We will process this data only as necessary to provide the Service and in accordance with our Privacy Policy.

6.3 Data Export

You may export your data at any time. Upon account termination, we will provide a reasonable period to export your data before deletion.

6.4 Data Security

We implement appropriate security measures to protect your data. However, you are responsible for maintaining the confidentiality of your account credentials.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Send spam or unsolicited messages through our SMS features
  • Upload malicious code or attempt to compromise our systems
  • Interfere with other users' access to the Service
  • Impersonate others or misrepresent your affiliation
  • Scrape, copy, or redistribute our content without permission
  • Use the Service to compete directly with CleanBiz
  • Violate any applicable laws or regulations

8. SMS and Communication Features

If you use our SMS reminder features, you agree to:

  • Obtain proper consent from recipients before sending messages
  • Comply with the Telephone Consumer Protection Act (TCPA) and similar laws
  • Honor opt-out requests promptly
  • Use SMS only for legitimate business communications (appointment reminders, confirmations)
  • Not send marketing messages without explicit consent

SMS credits are included in paid plans and do not roll over between billing periods.

9. Intellectual Property

9.1 Our Property

The Service, including its original content, features, and functionality, is owned by CleanBiz and protected by copyright, trademark, and other intellectual property laws.

9.2 Your Content

You retain rights to content you create. By uploading content, you grant us a license to use it as necessary to provide the Service.

9.3 Feedback

If you provide feedback or suggestions, we may use them without obligation to you.

10. Third-Party Services

Our Service integrates with third-party services (payment processors, SMS providers). Your use of these services is subject to their respective terms. We are not responsible for third-party services.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that the Service will meet your requirements or that defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEANBIZ SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, or goodwill
  • Service interruption or data loss
  • Actions or content of third parties

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify and hold harmless CleanBiz from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

14. Termination

We may terminate or suspend your account immediately, without prior notice, if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay applicable fees

Upon termination, your right to use the Service ceases immediately. Sections that should survive termination (such as limitations of liability) will remain in effect.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal dispute, you agree to try to resolve the issue by contacting us at support@cleanbiz.app.

15.2 Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English.

15.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

16. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CleanBiz regarding the Service.
